Terms of Use

1. Acceptance of these terms

These Terms of Use (the “Terms”) form a binding agreement between you (the “User” or “you”) and NouveauAI, Dubai, United Arab Emirates (“NouveauAI”, “we”, “us” or “our”), governing your installation and use of the ParkinPaid iOS application, its companion widget, Live Activity, Siri Shortcuts and Apple Watch extension (together, the “App”).

By downloading, installing, or using the App, you accept these Terms in full. If you do not accept them, do not install the App and delete any installed copy from your device.

2. The Apple Licensed Application End-User License Agreement

The App is licensed, not sold, to you under the Apple Licensed Application End-User License Agreement (the “Apple EULA”) located at apple.com/legal/internet-services/itunes/dev/stdeula. These Terms supplement the Apple EULA. Where these Terms and the Apple EULA conflict, the Apple EULA prevails in respect of matters it expressly addresses; in all other respects, these Terms apply.

You acknowledge that Apple Inc. is a third-party beneficiary of these Terms and of the Apple EULA, and that Apple has the right to enforce the EULA against you.

3. What the App does

The App is an information and convenience tool for paid parking in the United Arab Emirates. It does three things:

1. Composes and dispatches a payment SMS. Using data you provide (vehicle plate, emirate, parking zone, duration) and the published shortcode of the relevant parking authority, the App composes a payment SMS, hands it to the iOS Messages app for you to review, and starts a local countdown once iOS confirms the SMS as sent. Reminder notifications fire 15, 5, and 1 minute before expiry.
2. Maintains a crowdsourced parking-zone catalog. Each time you successfully send a parking SMS, the App uploads a small, anonymous record — zone code, approximate coordinates, emirate, and an anonymous device hash — to our server at parkinpaid.nouveauai.org. The App also reads back the same catalog so that other users’ contributions help you find the correct zone code at any location. Your name, plate number, session history, and any directly-identifying information stay on your device and are NOT part of these uploads. The full list of fields transmitted, and the legal basis on which they are processed, is set out in our Privacy Policy.
3. Synchronises your personal data via Apple iCloud, at your option. If you have enabled the iCloud capability for the App in iOS Settings, your vehicles, settings, and parking history are encrypted by Apple and replicated to your other Apple devices via your private iCloud database. We do not see this data.

The App is therefore a composer, sender-of-record on your command, timer, and crowdsource client. It is not a payment processor, not a parking authority, not a guarantor of any outcome with a parking authority, not an SMS gateway, and not an advertising or analytics platform.

4. What the App does not do

• The App does not pay any parking authority on your behalf. The SMS is sent by you through your own UAE mobile operator under your own subscription.
• The App does not auto-extend a parking session. You must extend manually by tapping the relevant control in the App and sending another SMS.
• The App does not verify that the SMS was received, processed, accepted, or correctly attributed by the parking authority. It can only confirm that iOS Messages reported the SMS as sent.
• The App does not guarantee that you will not receive a parking fine, penalty, contravention, or impounding decision. Such decisions are made exclusively by the relevant authority on its own evidence.
• The App does not collect, hold, or refund money. Any dispute about the SMS fee belongs between you and your mobile operator; any dispute about the parking tariff belongs between you and the relevant authority.
• The App does not provide legal advice on parking regulation.

4.5 Crowdsourced data and accuracy

The zone-code catalog displayed inside the App is built collaboratively by the App’s users and from data manually seeded by NouveauAI. The catalog is provided “as is” and on a best-effort basis. NouveauAI:

• Does not guarantee that any zone code in the catalog is current, correct for your location, or accepted by the relevant parking authority.
• Does not pre-verify user contributions before they appear in the catalog. The catalog uses statistical confidence scoring to weight reports, but a single bad reading at a location can briefly affect what other users see there.
• Reserves the right at its sole discretion to correct, remove, or anonymise any entry in the catalog at any time, including for legal compliance, accuracy maintenance, or abuse prevention.

You agree that you remain solely responsible for reading the zone code on the physical parking sign in front of you and correcting any pre-filled value in the App before tapping Send.

5. Your responsibilities

By using the App you agree that:

• You are at least 18 years of age and legally licensed to drive the vehicle whose plate you record.
• The vehicle plate and emirate you record are accurate and yours to enter.
• Before sending any payment SMS you will confirm the zone code, shortcode, and tariff against the physical parking sign or the parking authority’s official channels. Zone-code listings inside the App are provided for convenience and may not always reflect the latest changes by the relevant authority.
• You will maintain a valid UAE mobile subscription with sufficient balance and signal to send the SMS at the moment you tap Send.
• You will keep your iOS device powered on, unlocked when required, and within cellular and notification range during the parking session, so reminder notifications can be delivered before expiry.
• You will treat the App’s suggested zone and duration as a suggestion only, and exercise your own judgement.
• You will not use the App to attempt to defraud, evade, or misrepresent payment to any parking authority.
• You will not reverse-engineer, decompile, sublicense, resell, or re-publish the App beyond what is permitted by the Apple EULA and applicable law.
• You will not deliberately upload false, malicious, or otherwise misleading zone observations to the App’s crowdsourced catalog. NouveauAI reserves the right to ban abusive devices from the upload path and to remove any observations linked to a banned device hash.

6. Marketing language and limitation of operative promises

Marketing language used in the App Store listing, on nouveauai.org, in social posts, and on other channels may describe the App in shorthand terms such as “never miss a parking SMS”, “pay parking in one tap”, or similar. Such phrases are descriptive only. No part of any marketing material is operative as a warranty, guarantee, or representation by NouveauAI about the absence of fines or about the conduct of any parking authority or mobile operator. The operative promises of NouveauAI to you are limited to those expressly set out in these Terms.

7. Fees, billing, and Apple In-App Purchases

The App is currently free of charge to install and use. NouveauAI does not collect payment from you for use of the App and the App does not contain any subscription, in-app purchase, or paywall. Should NouveauAI introduce a paid feature in a future release, that feature will be billed by Apple through the App Store under the Apple EULA, and Apple’s refund policies will govern any refund.

SMS charges for each parking payment, including any premium shortcode fee, are billed by your UAE mobile network operator directly to your mobile account. Parking tariffs are charged by the relevant parking authority. NouveauAI is not a party to either charge.

8. Notifications and live activities

With your permission, the App schedules local notifications and a Live Activity for an active parking session. iOS controls the delivery of those notifications and reserves the right to defer or suppress them in low-power, focus, or sleep states. You should not rely solely on App notifications to avoid expiry; we recommend you also use any external reminder you would ordinarily use, such as a phone alarm.

9. Service availability and maintenance

The App is provided on an “as available” basis. Although the App functions without internet connectivity for most flows, certain features (such as map tiles, accurate location, and Apple Watch connectivity) depend on Apple services, your device hardware, your mobile network, and the parking authority’s SMS infrastructure. NouveauAI does not control any of these and cannot guarantee continuous availability.

10. Updates and changes to the App

NouveauAI may release updates to add features, improve performance, address security issues, or reflect changes in the way UAE parking authorities issue and accept SMS payments. We may modify, suspend, or discontinue any feature at any time. Where reasonably practicable, we will publish a release note. Continued use of the App after an update constitutes acceptance of these Terms as they apply to that update.

11. Termination

You may terminate this agreement at any time by deleting the App from your device, which also deletes all data the App has stored locally. We may terminate or restrict your right to use the App if you materially breach these Terms, attempt to misuse the App to evade parking enforcement, or attempt to reverse-engineer or tamper with it. Sections of these Terms that by their nature should survive termination will survive, including Sections 4 (What the App does not do), 5 (Your responsibilities), 6 (Marketing language), 12 (Intellectual property), 13 (Disclaimer of warranties), 14 (Limitation of liability), 15 (Indemnity), and 17 (Governing law and jurisdiction).

12. Intellectual property

ParkinPaid, the ParkinPaid name, logo, App design, code, copy, and zone data set authored by NouveauAI are the intellectual property of NouveauAI and its licensors. Apple frameworks remain the intellectual property of Apple Inc. Parking authority names, shortcodes, and tariff data displayed inside the App belong to the relevant authority and are reproduced for the User’s convenience. Nothing in these Terms transfers any intellectual property to you beyond the personal, non-transferable, non-exclusive licence to use the App granted by the Apple EULA.

13. Disclaimer of warranties

To the maximum extent permitted by applicable law, the App is provided “as is” and “as available”, without warranty of any kind, express, implied, or statutory. NouveauAI specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, or correspondence to description. We do not warrant that the App will operate without interruption or error, that the parking authority will accept any SMS sent through the App, that any zone code or tariff shown in the App is current, or that the App will prevent the issuance of any fine, penalty, contravention, impounding decision, or other adverse action by a parking authority or any other public body.

14. Limitation of liability

To the maximum extent permitted by applicable law, in no event will NouveauAI, its founders, employees, contractors, or affiliates be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, or data, arising out of or in connection with your use of the App, even if NouveauAI has been advised of the possibility of such damages.

NouveauAI’s aggregate liability to you, whether in contract, tort (including negligence), statutory duty, or otherwise, arising out of or in connection with your use of the App, is limited to the greater of (a) the amount, if any, you have paid NouveauAI for use of the App in the twelve months preceding the event giving rise to the liability, and (b) AED 100 (one hundred United Arab Emirates dirhams). Because the App is currently free of charge, the ordinary cap will be AED 100.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under UAE law.

15. Indemnity

You agree to indemnify and hold harmless NouveauAI, its founders, employees, contractors, and affiliates, against any claim, loss, cost, fine, penalty, or expense (including reasonable legal fees) arising out of (a) your misuse of the App, (b) any false, inaccurate, or fraudulent information you enter into the App, including a vehicle plate that is not yours to enter, or (c) any breach of these Terms.

16. Third-party services and Apple’s position

The App composes and relays SMS through Apple’s Messages framework and your UAE mobile operator. SMS delivery, billing, and confirmations are controlled by your mobile operator and by the parking authority. Each of those parties operates under its own terms and you must consult those terms for matters relating to charges, refunds, or complaints.

Apple Inc. and its subsidiaries are not responsible for the App, for any claims relating to the App, for maintenance of the App, or for product liability, intellectual property infringement, or consumer protection claims relating to the App. Apple has no obligation to provide any support for the App. Any such matter is the sole responsibility of NouveauAI, save where applicable law provides otherwise.

17. Governing law and jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or the App, save that NouveauAI may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Apple’s third-party beneficiary rights under Section 2 may be enforced in any jurisdiction where Apple has the right to bring such a claim.

18. Export and compliance

You represent that you are not located in, under the control of, or a national or resident of any country, or on any list of specially designated persons or denied parties, against which the United Arab Emirates, the United States, the European Union, or the United Kingdom maintains sanctions or comprehensive export controls relevant to mobile software. You agree to comply with all applicable export control and sanctions laws when using the App.

19. Severability and waiver

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. No failure or delay by NouveauAI in exercising any right under these Terms operates as a waiver of that right.

20. Entire agreement

These Terms, together with our Privacy Policy and the Apple EULA, constitute the entire agreement between you and NouveauAI in respect of the App and supersede any prior agreement, representation, or understanding.
